What is an IPO?
An Initial Public Offering (IPO) is the process by which a private company sells its shares to the public for the first time. After an IPO, the company's shares are listed on stock exchanges (NSE and BSE in India), allowing anyone to buy and sell them.
Why Do Companies Go Public?
- Raise Capital: The primary reason — companies need money for expansion, debt repayment, or acquisitions - Liquidity for Founders: Early investors and founders can sell their shares and realize profits - Brand Visibility: Being a publicly listed company enhances credibility and brand recognition - Employee Incentives: Listed companies can offer ESOPs (stock options) that employees can sell on the open marketThe IPO Process in India
Step 1: DRHP Filing
The company files a Draft Red Herring Prospectus (DRHP) with SEBI, detailing its financials, business model, risk factors, and how it plans to use the IPO proceeds.Step 2: SEBI Review
SEBI reviews the DRHP for compliance and investor protection. This process takes 2-3 months.Step 3: Price Band Announcement
The company and its investment bankers set a price band (e.g., ₹440-462 per share). The final issue price is determined through a book-building process based on investor demand.Step 4: IPO Opens for Subscription
The IPO is open for investors to apply, typically for 3 working days. Applications are categorized into: - Retail Individual Investors (RII): Up to ₹2 lakh investment - Non-Institutional Investors (NII): Above ₹2 lakh (also called HNI category) - Qualified Institutional Buyers (QIB): Mutual funds, FIIs, insurance companiesStep 5: Allotment
If the IPO is oversubscribed (more demand than supply), shares are allotted through a lottery system for retail investors. In the HNI category, proportional allotment is used.Step 6: Listing Day
Shares are listed on the stock exchange, and trading begins. The listing price can be above (listing at premium) or below (listing at discount) the issue price.Understanding Grey Market Premium (GMP)
The Grey Market Premium (GMP) is an unofficial indicator of how much an IPO might list above its issue price. It's determined by unofficial trading in the grey market before the actual listing.
Example: If an IPO has an issue price of ₹500 and GMP is ₹100, the expected listing price is approximately ₹600. Caution: GMP is unofficial, unregulated, and can be highly volatile. Don't base your investment decisions solely on GMP.How to Apply for an IPO

Before investing in any IPO, check:
- Financials: Is the company profitable? Look at revenue growth and profit margins over the last 3 years
- Valuations: Compare the IPO's P/E ratio with listed peers. If it's significantly higher, the company is asking for a premium
- Promoter Holding: After the IPO, do promoters retain a significant stake (above 50%)? This shows their confidence
- Use of Proceeds: Is the money being used for growth (new factories, R&D) or is it going to existing shareholders (Offer for Sale)?
- Industry Outlook: Is the company in a growing sector? A great company in a dying industry may not deliver returns
